Welcome to Taiso. These Terms of Service ("Terms") govern your access to and use of the services, website, and AI agents provided by BSMH Labs LLC, doing business as Taiso ("Taiso," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using our website at taiso.ai or any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our services.
2. Description of Services
Taiso provides industry-specific AI agents designed for small and mid-size businesses. Our services include:
- Custom AI agent development and deployment for business workflows
- The Vertical Partner Program for senior industry professionals
- The CS Grad Fellowship for recent computer science graduates
- Related tools, platforms, and support services
3. Eligibility
You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this requirement and have the legal authority to enter into these Terms.
4. User Accounts
Certain features of our services may require you to create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized use of your account
5. Acceptable Use
You agree not to use our services to:
- Violate any applicable laws or regulations
- Infringe on the intellectual property rights of others
- Transmit harmful, fraudulent, or deceptive content
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the integrity or performance of our services
- Use our AI agents for any purpose that is unlawful or prohibited by these Terms
6. AI Agent Services
6.1 Output Accuracy
While our AI agents are designed to be accurate and helpful, AI-generated outputs may occasionally contain errors. You are responsible for reviewing and verifying any AI-generated content before relying on it for business decisions.
6.2 Human Oversight
Our AI agents are designed to operate within the rules you set, with human review for high-stakes decisions. You retain responsibility for configuring appropriate oversight levels for your use case.
6.3 Data Handling
Information processed by our AI agents is handled in accordance with our Privacy Policy. You are responsible for ensuring you have the right to share any data you provide to our AI agents.
7. Intellectual Property
All content, features, and functionality of our services — including but not limited to text, graphics, logos, software, and AI models — are owned by BSMH Labs LLC and are protected by copyright, trademark, and other intellectual property laws.
You retain ownership of any data or content you provide to our services. By using our services, you grant us a limited license to process your data solely for the purpose of providing and improving our services.
8. Program-Specific Terms
8.1 Vertical Partner Program
Participation in the Vertical Partner Program is subject to additional agreements governing compensation, equity, revenue sharing, and program requirements. These will be provided upon acceptance into the program.
8.2 CS Grad Fellowship
Participation in the CS Grad Fellowship is subject to additional agreements governing stipends, equity, intellectual property, and program requirements. These will be provided upon acceptance into the fellowship.
9. Payment Terms
If you subscribe to paid services, you agree to pay all applicable fees. Payment terms, billing cycles, and pricing will be specified in your service agreement. We reserve the right to modify pricing with 30 days' notice.
10. Limitation of Liability
To the maximum extent permitted by law, BSMH Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.
Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
11. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12. Indemnification
You agree to indemnify and hold harmless BSMH Labs LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services or violation of these Terms.
13. Termination
We may suspend or terminate your access to our services at any time, with or without cause, upon reasonable notice. Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination will remain in effect.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts located in Santa Clara County, California.
